Taktile Media Challenge – Official Rules

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW.

1. Sponsor

The Taktile Media Challenge (the “Contest”) is sponsored by Taktile LLC, 200 Vesey Street, New York, NY 10281 (“Sponsor”).

2. Eligibility

The Contest is open only to legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years of age at the time of entry. Employees, officers, and directors of Sponsor, its affiliates, subsidiaries, advertising and promotion agencies, and their immediate family members (spouse, parent, child, sibling, and their respective spouses, regardless of where they reside) and/or those living in the same household are not eligible to enter or win. Limit one (1) entry per person/email address.

3. Contest Period

The Contest begins at 12:00:01 AM Eastern Time (“ET”) on [Start Date] and ends at 11:59:59 PM ET on [End Date] (the “Contest Period”). Entries submitted before or after the Contest Period will not be eligible.

4. How to Enter

To enter, participants must:

  • Complete the official entry form (e.g., Typeform) during the Contest Period, including all required information.
  • Upload a video Submission (no longer than two (2) minutes) presenting their original idea for a viral content campaign for Taktile.
  • All entries must be in English and comply with the Submission Requirements below.
  • Entries must be submitted by individuals only; group or team entries are not permitted. Limit one (1) entry per person/email address.

5. Submission Requirements

Each Submission must:

  • Be the entrant’s own original work, created solely by the entrant, and not previously published or submitted in any other contest.
  • Not use AI as the primary source to create the content. AI tools may be used for minor editing or research, but the core concept and execution must be the entrant’s own.
  • Not contain material that violates or infringes upon the rights of any third party, including but not limited to copyright, trademark, privacy, or publicity rights.
  • Not contain any third-party music, images, logos, or other intellectual property unless the entrant has obtained all necessary rights and licenses.
  • Not be inappropriate, indecent, obscene, hateful, defamatory, or otherwise objectionable, as determined by Sponsor in its sole discretion.
  • Meet all minimum technical and content requirements as specified on the entry form.

Sponsor reserves the right to disqualify any Submission that does not comply with these requirements or is otherwise ineligible.

6. Assignment of Rights & Intellectual Property

By entering, each entrant irrevocably assigns and transfers to Sponsor all right, title, and interest in and to the Submission, including all intellectual property rights. Entrant warrants and represents that they are the sole and exclusive owner of the Submission, have the full right and authority to assign all rights to Sponsor, and that the Submission does not infringe upon any third-party rights. Entrant agrees to execute any documents necessary to effectuate such assignment. If Sponsor determines, in its sole discretion, that an entry infringes any third-party rights or is otherwise ineligible, the entry will be disqualified and any prize forfeited.

7. Publicity Release

By entering, each entrant grants Sponsor and its designees the right to use their name, likeness, biographical information, and Submission for advertising, publicity, and promotional purposes in any and all media, now or hereafter known, worldwide and in perpetuity, without further compensation, notification, or permission, unless prohibited by law.

8. Judging Criteria & Winner Selection

This is a contest of skill. All eligible Submissions will be judged by a panel of qualified judges appointed by Sponsor using the following weighted criteria:

  • Creativity (30%) – Ingenuity and inventiveness of the concept.
  • Audience Resonance and Potential for Engagement (30%) – The Submission’s perceived ability to capture audience attention and spark conversation within the target community, as evaluated by the judges.
  • Alignment with Taktile’s Mission (20%) – How well the Submission reflects Taktile’s mission to improve lives through better decisioning. See [link to Taktile’s mission].
  • Originality (20%) – The Submission’s uniqueness and ability to stand out from typical social media content.

Each criterion will be scored on a scale of 1–10. The ten (10) entries with the highest aggregate scores will be deemed potential finalists (“Finalists”). In the event of a tie, the entry with the highest score in “Alignment with Taktile’s Mission” will be deemed the winner. All decisions of the judging panel are final and binding.

Minimum Standards: Sponsor reserves the right not to award any or all prizes if, in its sole discretion, no eligible entries meet the minimum quality standards established for the Contest.

9. Finalist Phase & Managed Account Takeover

Each Finalist will participate in a “Managed Account Takeover” between [Start Date] and [End Date]. Finalists will submit all proposed content for the takeover to Sponsor for review and approval prior to posting. Sponsor will post approved content on the CEO’s social media accounts on behalf of the Finalist. No direct access to any Taktile or employee social media accounts will be granted. Content posted as part of the takeover will be attributed to the Finalist as part of the #TaktileMediaChallenge.

10. Prizes & Approximate Retail Value (ARV)

Finalist Prizes (up to 10): Each Finalist will receive $5,000 USD. ARV: $5,000.

Grand Prize (1): The Grand Prize Winner will receive $50,000 USD and a conditional offer of employment for the Head of Media role at Taktile. ARV of the cash prize is $50,000. The total ARV of all prizes is up to $100,000.

All federal, state, and local taxes and any other costs and expenses associated with prize acceptance and use are the sole responsibility of the winner. Sponsor will issue an IRS Form 1099 to any winner receiving $600 or more in prizes. Sponsor reserves the right to substitute a prize of equal or greater value if the advertised prize becomes unavailable.

11. Conditional Offer of Employment

The employment offer is conditional and contingent upon the winner’s successful completion of Taktile’s standard hiring process, which includes, but is not limited to, a comprehensive background check and, if required by the role, relocation to the New York City metropolitan area.

12. Winner Notification & Verification

Potential winners will be notified via the email address provided at entry. They will be required to sign and return an Affidavit of Eligibility, a Liability/Publicity Release, an IRS W-9 form, and any further documents required by Sponsor to perfect the assignment of intellectual property rights, within five (5) business days of notification. Failure to comply will result in disqualification and an alternate winner may be selected.

13. Indemnification

By entering, you agree to indemnify, defend, and hold harmless Sponsor from and against any and all claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of or related to any breach or alleged breach of your representations and warranties in these Official Rules.

14. FTC/Influencer Compliance

Finalists and winners must include clear and conspicuous disclosures (e.g., #Ad, #TaktileContest) in all social media posts related to the contest, as required by the FTC.

15. Privacy

Information submitted with an entry is subject to the Sponsor’s Privacy Policy, available at https://www.taktile.com/privacy-policy, and the Contest-Specific Privacy Notice, available at [link]. The Privacy Notice describes what personal data is collected, the purpose for collection, retention period, and participant rights under applicable law.

16. General Conditions

Sponsor reserves the right to cancel, suspend, or modify the Contest if fraud, technical failures, or any other factor beyond Sponsor’s reasonable control impairs the integrity of the Contest. Sponsor is not responsible for lost, late, incomplete, or misdirected entries. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. If any provision of these Official Rules is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

17. Governing Law & Dispute Resolution

These Official Rules are governed by the laws of the State of Delaware, without regard to conflict of law principles. All disputes will be resolved individually, without resort to any form of class action, and exclusively by the state or federal courts located in New York County, New York.

18. Winners List

For a list of the winners, send a self-addressed, stamped envelope to: “Taktile Media Challenge Winners,” 200 Vesey Street, New York, NY 10281. Requests must be received by [Date].
